SALES TERMS AND CONDITIONS

These Sales Terms and Conditions ("Sales Terms") govern all purchases of paid subscriptions and per-use services made through the Propaler platform, operated by Propaler SAS ("Propaler").
These Sales Terms supplement and should be read together with our Terms of Service.
1. PRODUCTS AND SERVICES
Propaler offers the following commercial offerings:
1.1 Monthly and Annual Subscriptions
Subscriptions give access to the paid features of the Propaler platform. Plans, features, and pricing are described on the pricing page at propaler.com/pricing. Prices are stated in euros (EUR) and are exclusive of applicable taxes.
1.2 Certified Agreement (Per-Use Fee)
The Certified Agreement feature allows a prospect to digitally sign an agreement embedded in a proposal, with a full identity and timestamp audit trail. Each activation of this feature on a proposal is subject to a per-use fee, as displayed in the platform at the time of activation.
1.3 Additional Seats
For team plans, additional user seats may be purchased. The per-seat pricing is displayed in your account settings.
2. ORDERING PROCESS
Orders are placed electronically through the Propaler platform. By confirming a subscription upgrade or a per-use purchase, you are making a binding offer to purchase the selected product or service.
Propaler will confirm your order by email. The purchase contract is formed upon receipt of this confirmation.
3. PAYMENT
3.1 Payment Methods
Payments are processed by Stripe, Inc. Accepted payment methods include major credit and debit cards (Visa, Mastercard, American Express).
3.2 Subscription Billing
Subscriptions are billed automatically at the start of each billing period (monthly or annually, as selected). Propaler will notify you before any price change takes effect.
3.3 Per-Use Billing
Per-use charges (Certified Agreement) are accumulated and charged to your payment method at the end of each billing cycle, or when a threshold amount is reached, at Propaler's discretion.
3.4 Failed Payments
If a payment fails, Propaler will retry the charge in accordance with Stripe's standard retry schedule. You will be notified by email. Propaler reserves the right to restrict or suspend access to paid features until the outstanding balance is settled.
4. RIGHT OF WITHDRAWAL (EU CONSUMERS)
In accordance with applicable consumer protection regulations, EU consumers have a right of withdrawal of fourteen (14) days from the date of purchase of a subscription, subject to the following:
The right of withdrawal is forfeited if the Service has already been fully performed with your express consent before the end of the withdrawal period.
For subscriptions, as the Service is typically used immediately upon activation, you expressly acknowledge and agree that the right of withdrawal may be waived upon your confirmation that you wish to use the Service immediately.
Business users (B2B) do not benefit from the consumer right of withdrawal.
5. CANCELLATION
You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period, except where required by mandatory applicable law.
6. PRICES AND TAXES
All prices displayed on the Propaler platform are exclusive of VAT (value added tax) and other applicable taxes, unless otherwise stated. Applicable taxes will be calculated and displayed at checkout based on your billing country.
Propaler reserves the right to change its prices at any time. Price changes will be communicated to existing subscribers at least 30 days in advance.
7. INVOICING
Electronic invoices are automatically generated for each transaction and are available in your account settings. You may download your invoices at any time.
8. GOVERNING LAW
These Sales Terms are governed by French law. Any dispute arising from a purchase made through the Propaler platform shall be subject to the jurisdiction of the competent French courts, subject to mandatory consumer protection rules of your country of residence.
