TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Propaler platform ("Service"), operated by Propaler SAS ("Propaler", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. DESCRIPTION OF THE SERVICE
Propaler is a Software-as-a-Service (SaaS) platform that enables sales professionals, consultants, freelancers, and businesses ("Users") to:
- Upload PDF documents (commercial proposals, quotes, presentations)
- Share documents via secure, trackable URLs
- Monitor prospect engagement in real time (open time, time spent per page, revisits)
- Request certified digital agreements ("Certified Agreement" / "Accord Certifié") from prospects
- Manage follow-up reminders and prospect pipelines
2. ACCOUNT REGISTRATION
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must be at least 18 years of age to use the Service. By registering, you confirm that the information you provide is truthful and that you have the legal authority to enter into these Terms.
3. SUBSCRIPTION PLANS AND BILLING
3.1 Free Plan
Propaler offers a free plan with limited features (including a restricted number of proposals). No credit card is required for the free plan.
3.2 Paid Plans
Paid subscriptions are billed on a monthly or annual basis via Stripe, our payment processor. Prices are displayed in your account settings and are exclusive of applicable taxes (VAT).
3.3 Certified Agreement Feature
The Certified Agreement feature is subject to an additional per-use charge. By activating this feature on a proposal, you agree to the applicable per-use pricing as displayed in the platform at the time of use.
3.4 Payment Failure
In the event of a failed payment, Propaler reserves the right to restrict access to paid features until the outstanding balance is settled. You will be notified by email and will have a reasonable period to update your payment information.
3.5 Cancellation and Refunds
You may cancel your subscription at any time from your account settings. Your subscription will remain active until the end of the current billing period. Propaler does not provide refunds for partial billing periods, except where required by applicable law.
4. ACCEPTABLE USE
You agree not to use the Service to:
- Upload or share unlawful, misleading, fraudulent, or harmful content
- Infringe the intellectual property rights of any third party
- Send unsolicited commercial communications (spam)
- Attempt to gain unauthorised access to other users' accounts or Propaler's systems
- Reverse engineer, decompile, or disassemble any part of the platform
- Use the Service in any way that could impair, damage, or overburden Propaler's infrastructure
Propaler reserves the right to suspend or terminate any account that breaches these Terms, without prior notice, in cases of serious or repeated violations.
5. USER DATA AND CONTENT
5.1 Your Content
You retain full ownership of the content (PDF files, prospect information) that you upload to the Service. By uploading content, you grant Propaler a limited, non-exclusive licence to process and store such content solely for the purpose of providing the Service.
5.2 Prospect Data
When a prospect opens a proposal link, Propaler collects certain technical data (IP address, device type, reading timestamps) to provide the tracking service. You are responsible for ensuring that your use of this tracking capability complies with applicable data protection laws (including GDPR) and for informing your prospects accordingly. Propaler displays an appropriate notice to prospects upon accessing a proposal link.
5.3 Certified Agreement Data
When a prospect signs a Certified Agreement, Propaler collects their personal data (name, email, phone number, IP address, timestamp) to constitute an audit trail. This data is retained for ten (10) years for legal compliance purposes.
6. INTELLECTUAL PROPERTY
The Propaler platform, including its software, design, trademarks, and content, is the exclusive property of Propaler SAS. These Terms do not transfer any intellectual property rights to you.
7. PRIVACY
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection, use, and disclosure practices.
8. SERVICE AVAILABILITY
Propaler makes reasonable efforts to ensure the Service is available 24/7. However, we do not guarantee uninterrupted availability and accept no liability for temporary interruptions due to maintenance, technical failures, or events beyond our control.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Propaler's liability to you for any cause of action arising from or related to these Terms or the Service shall be limited to the amounts paid by you to Propaler in the twelve (12) months preceding the event giving rise to the claim. Propaler shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
10. AMENDMENTS
Propaler reserves the right to modify these Terms at any time. Material changes will be notified to you by email or via an in-app notice. Continued use of the Service following notification of changes constitutes your acceptance of the revised Terms.
11. GOVERNING LAW AND JURISDICTION
These Terms are governed by French law. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of France, unless mandatory consumer protection laws of your country of residence provide otherwise.
